Terms of Use

Effective Date: 1/1/2026

Last Updated: 10/1/2026

Welcome to the website of Strive CLE Counseling, LLC (“Strive,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of www.striveclecounseling.com, including its publicly available content, features, forms, and links (collectively, the “Website”).

By accessing or using the Website, you agree to these Terms. If you do not agree to these Terms, please do not access or use the Website.

1. Purpose of This Website

The Website provides general information about Strive, our mental health counseling, psychiatric, medication-management, assessment, diagnosis, behavioral-health, and related services; our providers; service offerings; insurance and payment information; general consultation inquiries; and information about treatment options that may be offered by Strive, including SPRAVATO® treatment.

The Website is for general informational purposes only. It does not provide individualized medical, psychiatric, psychological, therapeutic, legal, financial, insurance, or other professional advice. Information on the Website is not intended to diagnose, treat, cure, prevent, or replace individualized evaluation, diagnosis, treatment planning, or professional care from a qualified healthcare provider.

Information about services, providers, availability, treatment options, insurance participation, coverage, pricing, eligibility, and financial responsibility may change. Please contact Strive and, when applicable, your insurance carrier to confirm information that applies to you.

2. No Medical Advice or Guaranteed Outcomes

Information on this Website—including information about mental-health conditions, counseling, psychiatric services, medications, insurance coverage, treatment options, and SPRAVATO® treatment—is general educational information only.

Website content does not create a treatment recommendation, promise that a particular service is appropriate, guarantee insurance coverage, or guarantee a clinical, financial, or treatment outcome. Individual eligibility for services is determined through Strive’s applicable intake, consent, registration, evaluation, clinical, prescribing, safety, and treatment processes, as determined by Strive and the applicable provider.

Do not start, stop, change, or delay medication, psychiatric care, counseling, or other treatment based solely on Website content. Please consult a qualified healthcare professional regarding your individual health needs.

3. No Emergency or Crisis Services

The Website, Website contact form, email, Facebook, Instagram, and other social-media channels are not monitored for emergencies and are not appropriate for urgent or crisis communications.

If you are experiencing a medical or mental-health emergency, call 911, call or text 988 to reach the Suicide & Crisis Lifeline, go to the nearest emergency department, or contact local emergency services.

Do not delay seeking emergency care while waiting for a response from Strive.

4. No Provider–Patient Relationship Through Website Use

Visiting the Website, viewing Website content, completing a contact form, emailing Strive, following or interacting with Strive on social media, requesting a consultation, reviewing insurance information, or selecting the Patient Portal link does not by itself establish a provider–patient, therapist–patient, psychiatrist–patient, clinician–patient, or other treatment relationship with Strive or any Strive provider.

A treatment relationship is established only after the completion of Strive’s applicable intake, consent, registration, evaluation, and clinical processes, as determined by Strive and the applicable provider.

5. Contact Form and Private Health Information

The Website contact form is for general, non-clinical inquiries only.

Do not submit protected health information (“PHI”), diagnoses, symptoms, treatment information, medication questions, appointment details, insurance information, payment information, records, crisis information, or other sensitive personal information through the Website contact form or unencrypted email.

The Website contact form is not a secure patient portal, is not intended for clinical communications, and is not monitored for emergencies. Existing patients should use the secure Patient Portal or the communication method provided by Strive for patient-specific questions, scheduling matters, records requests, medication requests, clinical concerns, or other confidential communications.

If you submit information through the Website contact form or unencrypted email, you do so at your own discretion. Strive may respond through appropriate channels, but cannot guarantee that standard Website-form or email communications are secure or appropriate for clinical matters.

6. Telehealth and Patient Portal

Strive may provide telehealth services when clinically appropriate and permitted by law. Telehealth services are delivered through Strive’s secure EHR platform or another approved secure platform—not through this public Website, the Website contact form, standard email, Facebook, or Instagram.

The Website includes a link to Strive’s secure third-party EHR Patient Portal (“Patient Portal”). When you select the Patient Portal link, you will leave the public Website and enter a separate platform operated by Strive’s EHR vendor or another authorized service provider.

The Patient Portal is governed by the applicable portal terms, privacy notices, access procedures, Strive’s Notice of Privacy Practices, and applicable law. Do not enter your Patient Portal username, password, or other portal credentials anywhere except the secure Patient Portal login page.

Strive does not record telehealth sessions or use AI software for clinical documentation, as stated on the Website.

7. Insurance, Billing, and Financial Information

The Website may identify insurance plans, payment options, and financial information as a general convenience. This information may change without notice.

Listing an insurance carrier or plan on the Website does not guarantee that Strive is in-network for your individual plan, that a particular provider is participating, that a service is covered, that prior authorization is not required, or that you will have no out-of-pocket cost.

Patients are responsible for verifying their individual benefits, eligibility, provider network status, copayments, deductibles, coinsurance, authorization requirements, and other financial obligations with their insurance carrier. Strive may conduct a benefits review as a courtesy; however, patients remain responsible for charges not paid by their insurance plan, subject to applicable agreements and law.

8. SPRAVATO® Information

The Website may provide general information about SPRAVATO® treatment. Such information is for educational purposes only and does not constitute medical advice, a treatment recommendation, a promise of eligibility, a guarantee of insurance coverage, or a guarantee of a specific clinical outcome.

SPRAVATO® is a prescription treatment that may involve important risks, restrictions, monitoring requirements, and other considerations. A qualified prescribing provider must determine whether an individual is an appropriate candidate after an individualized clinical evaluation and in accordance with applicable prescribing, safety, and treatment requirements.

Do not rely on Website content as a substitute for prescribing information, an evaluation by a qualified provider, individualized medical advice, or emergency care.

9. Social Media and Third-Party Links

The Website may contain links to third-party websites and platforms, including Strive’s Patient Portal, Facebook business page, and Instagram business page. These links are provided for convenience only.

When you select a third-party link, you leave the Website. Strive does not control and is not responsible for third-party content, availability, privacy practices, cookies, tracking technologies, terms, security practices, services, or actions. A link does not mean that Strive endorses the third party or its information, products, services, or content.

Your use of any third-party website or platform is at your own risk and is governed by that third party’s terms and privacy policy. Review those policies before providing information to a third party.

Do not post, message, tag, comment with, or otherwise share PHI, private health information, treatment information, appointment details, medication information, insurance information, records, or other sensitive information through Facebook, Instagram, or another social-media platform. Strive does not use social media for clinical care, patient-specific advice, appointment changes, medication requests, records requests, or emergency communications.

10. Acceptable Use

You agree to use the Website only for lawful purposes and in a manner consistent with these Terms. You may not:

  • Use the Website contact form or unencrypted email to transmit PHI or other sensitive personal information.
  • Use the Website to send emergency, threatening, abusive, harassing, discriminatory, defamatory, obscene, fraudulent, or unlawful communications.
  • Attempt to gain unauthorized access to the Website, related systems, user accounts, servers, networks, forms, or data.
  • Interfere with, disrupt, damage, overload, or impair the Website or another person’s use of it.
  • Upload, transmit, distribute, or introduce viruses, malware, ransomware, spyware, phishing material, or other harmful code or content.
  • Use bots, scrapers, crawlers, data-mining tools, or similar automated methods to access, copy, monitor, collect, or extract Website content or data without Strive’s written permission.
  • Impersonate Strive, a Strive provider, employee, patient, representative, or another person or entity.
  • Use Website materials for commercial purposes without Strive’s prior written permission.
  • Violate applicable federal, state, local, or other law or regulation.

Strive may limit, suspend, or terminate access to the Website, to the extent permitted by law, if we believe a person has violated these Terms or created a risk to the Website, Strive, or others.

11. Intellectual Property

Unless otherwise stated, the Website and its content—including text, logos, business names, graphics, photographs, videos, design, layout, branding, forms, downloads, and other materials—are owned by or licensed to Strive and are protected by applicable copyright, trademark, and other intellectual-property laws.

Strive grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Website for personal, lawful, non-commercial purposes. You may not copy, reproduce, modify, publish, display, distribute, transmit, create derivative works from, sell, license, or otherwise exploit Website content without Strive’s prior written permission, except as permitted by applicable law.

Nothing in these Terms grants you any license or right to use Strive’s name, trademarks, service marks, logos, or branding without prior written consent.

12. Website Availability and Accuracy

Strive works to keep Website content current and accurate. However, we do not guarantee that the Website or its content is complete, accurate, current, reliable, error-free, secure, uninterrupted, or available at all times.

We may update, modify, suspend, restrict, or discontinue any part of the Website at any time without notice. Please contact Strive directly to confirm information relevant to your individual circumstances.

13. Disclaimer of Website Warranties

The Website and its content are provided for general informational purposes on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, Strive does not make representations or warranties, express or implied, regarding the Website’s availability, uninterrupted operation, security, accuracy, completeness, timeliness, reliability, or fitness for a particular purpose.

Strive does not guarantee that the Website will be free of errors, interruptions, viruses, malware, or other harmful components. Strive may update, modify, suspend, or discontinue Website content or functionality at any time.

This section applies only to the public Website and its content. It does not limit or disclaim any duty, obligation, or standard of care that may apply to healthcare, mental-health, psychiatric, medication-management, telehealth, or other clinical services provided by Strive or its providers. Nothing in these Terms limits rights or remedies that cannot lawfully be waived or limited.

14. Limitation of Liability for Website Use

To the fullest extent permitted by applicable law, Strive and its owners, members, officers, directors, employees, contractors, providers, agents, affiliates, licensors, and service providers will not be liable for damages arising from or relating to your access to, use of, inability to use, or reliance on the public Website or its general informational content, including damages arising from Website errors, omissions, delays, interruptions, unavailability, technical failures, or the acts or omissions of third-party websites or platforms linked from the Website.

This limitation includes claims related to a visitor’s use of the general Website contact form or unencrypted email to submit information after being advised not to transmit private health information through those channels, and claims related to third-party platforms such as the Patient Portal, Facebook, Instagram, insurance-carrier websites, or other external sites.

This section does not limit or exclude liability arising from the provision of healthcare, mental-health, psychiatric, medication-management, telehealth, or other clinical services; Strive’s obligations under applicable privacy or security law; or liability that cannot lawfully be excluded or limited, including liability for intentional, reckless, or willful misconduct.

15. Indemnification for Misuse of Website

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Strive and its owners, members, officers, directors, employees, contractors, providers, agents, affiliates, licensors, and service providers from and against third-party claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or resulting from:

  • Your material violation of these Terms;
  • Your unlawful use of the Website;
  • Your attempt to gain unauthorized access to the Website or related systems;
  • Your transmission of malware, harmful code, or unlawful content through or in connection with the Website; or
  • Your infringement or misappropriation of another person’s intellectual-property, privacy, or other legal rights.

This indemnification section does not apply to claims arising from healthcare, mental-health, psychiatric, medication-management, telehealth, or other clinical services provided by Strive or its providers.

16. Privacy and HIPAA Notices

Your use of the Website is also subject to Strive’s Website Privacy Policy, which explains how Strive may collect, use, and protect information collected through the public Website.

Strive’s separate Notice of Privacy Practices describes how Strive may use and disclose PHI in connection with healthcare services and explains patient rights concerning PHI. The Notice of Privacy Practices—not these Terms—governs Strive’s use and disclosure of PHI in delivering healthcare services.

17. Changes to These Terms

Strive may revise these Terms at any time. Updated Terms will be posted on the Website with a revised “Last Updated” date. Your continued use of the Website after updated Terms are posted means that you accept the updated Terms, to the extent permitted by law.

18. Governing Law and Venue

These Terms, and any dispute arising solely from or directly relating to your use of the public Website or these Terms, will be governed by the laws of the State of Ohio, without regard to Ohio conflict-of-law principles.

To the extent a dispute covered by this section may properly be brought in court, the parties consent to exclusive jurisdiction and venue in the state courts located in Cuyahoga County, Ohio, or the federal court serving Cuyahoga County, Ohio, as applicable.

This section does not govern or limit: (a) claims arising from healthcare, mental-health, psychiatric, medication-management, telehealth, or other clinical services; (b) rights or claims governed by Strive’s Notice of Privacy Practices, a patient agreement, informed-consent document, financial policy, payer agreement, or another written agreement; (c) a person’s right to file a complaint with a governmental, licensing, or regulatory agency; or (d) any rights, remedies, forum, or venue that cannot lawfully be waived, limited, or changed.

19. Severability and Waiver

If any provision of these Terms is found invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

Strive’s failure to enforce a provision of these Terms does not waive its right to enforce that provision or any other provision later.
